INTENDED USERS: Authorized C4 personnel and contractors

PLEASE READ BEFORE USING THE APPLICATION.
By connecting a QuickBooks Online company, accessing the Application, or using its reports, you agree to
this Agreement. If you do not agree, do not connect an account or use the Application.

1. AGREEMENT AND SCOPE
This Agreement is between C4 Maintenance (“C4,” “we,” “us,” or “our”) and the person or organization using
the Application (“you”). It applies to the Application and any related documentation, reports, dashboards,
updates, or support that C4 provides.
The Application is intended primarily for C4’s internal business reporting. If C4 authorizes another person or
organization to use it, that user is also bound by this Agreement.

1.1 ACCEPTANCE AND AUTHORITY
You accept this Agreement by connecting a QuickBooks Online company, signing in, selecting an Intuit company file, accessing the Application, or using any output from it. If you act for an organization, you confirm that you have authority to bind that organization and to authorize access to its accounting data.

1.2 ELIGIBILITY
You must be legally capable of entering into this Agreement and must have permission to access every account and company file you connect. The Application is not intended for consumers or anyone under 18.

2. LIMITED LICENCE
Subject to this Agreement, C4 grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Application solely for legitimate internal business purposes authorized by C4. The Application is licensed, not sold. No right is granted except the limited right expressly stated here.

3. ACCEPTABLE USE
You may not use the Application or its data for unlawful, fraudulent, deceptive, or unauthorized purposes; access a company file without permission; share credentials or confidential reports with an unauthorized person; or violate Intuit’s terms.  You also may not copy, sell, rent, sublicense, distribute, or commercially exploit the Application; reverse engineer or attempt to discover source code except where law expressly permits; bypass security controls; introduce malicious code; interfere with service operation; or infringe another person’s rights.

4. ACCOUNT ACCESS AND RESPONSIBILITIES
You are responsible for maintaining the confidentiality and security of your sign-in information, devices, and connected accounts. You must promptly notify C4 of suspected unauthorized access, compromised credentials, or inaccurate account permissions. You are responsible for the accuracy, completeness, legality, and quality of the data available through your connected QuickBooks company. You must review the Application’s reports before relying on them.

4.1 AUTHORIZATION TO CONNECT QUICKBOOKS
When you connect a QuickBooks Online company, you authorize the Application to request and receive the accounting data permitted by the access scopes you approve. The Application is designed primarily to retrieve and analyze data for reporting. It will not intentionally create, change, or delete accounting entries unless a write feature is separately enabled and you expressly authorize its use. You may revoke the connection through the relevant Intuit or Application settings. Revocation can prevent future data retrieval but may not automatically delete information already lawfully obtained or retained as described in the Privacy Policy.|

5. DATA AND PRIVACY
C4’s collection, use, disclosure, retention, and protection of information through the Application are described in the C4 QuickBooks Reporting App Privacy Policy. That policy forms part of the terms governing the Application. Minimum-access principle. Users must connect only the company files and data needed for authorized reporting. C4 may restrict access by user, company, feature, or reporting purpose.

6. INTUIT AND OTHER THIRD-PARTY SERVICES
The Application depends on QuickBooks Online and services provided by Intuit Inc. and its affiliates. Intuit’s own terms, privacy statement, availability, security practices, and account rules govern your use of Intuit services. C4 does not control and is not responsible for changes, outages, suspensions, errors, fees, or data practices of Intuit or other third parties. QuickBooks and Intuit are trademarks of their respective owners. C4 is not Intuit, does not speak for Intuit, and is not responsible for Intuit’s products or services. Use of the Application does not alter your agreement with Intuit.

7. OWNERSHIP
C4 and its licensors retain all rights, title, and interest in the Application, including its software, design, workflow, reports, documentation, and intellectual property. You retain ownership of your underlying business and accounting data, subject to any rights held by Intuit or another data provider.

8. UPDATES, AVAILABILITY, AND SUPPORT
C4 may add, modify, suspend, or discontinue any part of the Application. C4 may also release updates or impose reasonable technical or security requirements. You may need to reconnect an account, renew authorization, or use an updated version to continue receiving reports. C4 does not promise that the Application will be continuously available, error-free, secure from every threat, compatible with every system, or able to retrieve every QuickBooks record. Reports may be delayed, incomplete, duplicated, or affected by source-data changes, connection failures, accounting configuration, or third-party outages.

9. MANAGEMENT TOOL – NOT PROFESSIONAL ADVICE
The Application is a reporting and management-support tool. Its dashboards, summaries, alerts, forecasts, and key performance indicators do not constitute accounting, audit, tax, legal, investment, or other professional advice. You remain responsible for your books and records, internal controls, filings, payments, business decisions, and compliance obligations. Review material outputs against QuickBooks and consult a qualified professional when appropriate, especially before making tax, payroll, legal, financing, or other consequential decisions.

10. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Application and all related reports and services are provided “as is” and “as available.” C4 disclaims all warranties and conditions, whether express, implied, statutory, or collateral, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, availability, and results. Nothing in this Agreement excludes a warranty, condition, or right that cannot lawfully be excluded.

11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, C4 and its owners, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, savings, business opportunity, goodwill, or data arising from or related to the Application. To the maximum extent permitted by law, C4’s total aggregate liability arising from or related to the Application or this Agreement will not exceed the greater of: (a) the amount you paid C4 specifically for the Application during the 12 months before the event giving rise to the claim; and (b) CAD $100. These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose, but they do not apply where prohibited by law.

12. INDEMNITY
To the extent permitted by law, you will indemnify and hold harmless C4 and its owners, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your unlawful or unauthorized use of the Application, your breach of this Agreement, or your infringement of another person’s rights. This section does not require indemnification for loss caused by C4’s own gross negligence or willful misconduct.

13. SUSPENSION AND TERMINATION
This Agreement continues until terminated. You may terminate it by stopping use, revoking the QuickBooks connection, and requesting closure of your Application access. C4 may suspend or terminate access immediately if authorization ends, your role or engagement ends, security is at risk, you breach this Agreement, a third-party service requires it, or continued access may expose C4 or another person to harm or liability. On termination, your license ends and you must stop using the Application. Sections that by their nature should survive will survive, including ownership, disclaimers, liability limits, indemnity, governing law, and general terms.

14. CHANGES TO THIS AGREEMENT
C4 may update this Agreement to reflect changes to the Application, law, security practices, or business operations. The revised agreement will state its effective date. Where required, C4 will provide notice or seek renewed acceptance. Continued use after an updated agreement takes effect constitutes acceptance to the extent permitted by law.

15. GOVERNING LAW
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to any mandatory rights or procedures that apply, the courts located in British Columbia will have exclusive jurisdiction over disputes arising from this Agreement or the Application.

16. GENERAL
This Agreement and the Privacy Policy are the entire agreement concerning the Application and replace prior discussions or representations about its use. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. A waiver must be express and does not waive a later breach. You may not assign this Agreement without C4’s written consent. C4 may assign it as part of a reorganization, sale, or transfer of the Application or business. Headings are for convenience only.
